商法体系化与商法典立法的关系思辨

摘　　要：改革开放以来我国商事法治建设取得长足进步,商事法律体系已经较为完备,但既有商法规范在体系性和科学性方面尚有较多不足,必须根据社会主义市场经济深化发展的需要对商法规则加以“体系化”再造。商法典立法依然是实现商法体系化的最佳工具或根本路径。从历史维度来看,商法就是经由不同程度、不同形式的“法典化”,实现了从简单到复杂、从无序到有序、从分散到集中的体系化发展;从理论维度来看,商法的“法典化”是现代市场经济发展的必然结果,商法典立法不能仅视为外在规范体系的建构,也包含内在价值体系的调整,这就使得商法经由体系化的路径能够不断适应经济社会发展需要。中国商法规则的体系化需要充分考虑商事立法的结构性制约问题,同时需要在体系构造和立法形式上有所创新,商法典立法具有必要性和可行性。Since the reform and opening up,our country has made great progress for the rule of law,and the commercial law system has been relatively complete.But the existing system still has many deficiencies in terms of system and scientificity,and should be reconstructed the rules of commorcial law systematically according to the needs of deepening the development of socialist market econoncy.The commercial code legislation is still the best tool or fundamental way to realize the systematization of commercial law.From a historical perspective,commercial law has achieved systematic development from simple to complex,from disorder to order,and from decentralization to concentration through different degrees and forms of“codification”;from a theoretical perspective,the“codification”of commercial law is an inevitable result of the development of the modern market economy.The legislation of the commercial code cannot only be regarded as the construction of the external normative system,but also includes the adjustment of the internal value system,which enables the commercial law to continuously adapt to the development of economy and society.The systematization of China’s commercial law rules needs to fully consider the structural constraints of commercial legislation,and at the same time,it needs to innovate in the system structure and legislative form.The commercial code legislation is necessary and feasible.
