摘　　要：对法人涵义和其特征的考察发现法人与独立责任间必然联系的观点值得怀疑,在对法人制度的历史考证和现代世界主要国家法人制度对比的基础上,结合法人人格要素分析,论证法人与独立责任不存在必然关系。We find the concept that there is an inexorable relationship between legal person and its independent responsibility is doubtful through researching the implication of legal person and corporate attributes.From historically researching the system of legal person,comparing some systems of legal person of modern primary countries in the world,and combining the element of juristic personality we expound and prove that there is no certain relationship between legal person and independent responsibility.
