摘　　要：在我国,由于公司治理结构存在严重的缺陷,致使非正当关联交易层出不穷,严重损害了中小股东的合法权益,并影响着市场经济的健康发展。因此,应当在"公平与效率"的立法理念下,采取加强股东表决权排除制度、完善累积投票制度、健全独立董事制度、完善监事会制度、深化信息披露制度等措施规制非正当关联交易。There are serious defects of the corporate governance in China,which results in many unfair affiliated transactions seriously damaging the minority shareholder's rights,and affecting the healthy development of market economy.Therefore,we should adopt measures to regulate unfair affiliated transactions under the fair and efficiency of legislative philosophy,like perfecting the challenge voting system,perfecting the independent director system,perfecting the information disclosure system,perfecting the challenge system of voting power,perfecting the supervisory committee system and so on.
