摘　　要：资本的跨境流动是公司境外上市法律监管的重中之重,鉴于资本跨境流动经济行为的自发性、盲目性,作为社会公共利益代表的政府和证券市场的其他主体通过建立证券市场监管机制对市场运作进行不同程度的干预尤为重要。我国对公司境外上市资本跨境流动的法律监管应当遵循监管成本最小化与收益最大化原则,以政府公权监管为主,注重事前监管,辅以证券行业组织自律和私权诉讼,合理地构建公司境外上市资本跨境流动法律监管组织体系的结构。Cross-border movement of capital is the important aspect of cross-border listing.In view of cross-border movement of capital's spontaneity and blindness,it is important that security supervision system intervenes in security marketing operations.Our country should establish comprehensive legal supervision of cross-border listing,which includes public right,self-regulation and judicial proceeding,through abiding by the principle of cost minimization and revenue maximization.
