摘　　要：从公司独立人格制度产生的历史和现状看，这一制度在现代社会仍具有的效益价值及正义价值，但现实生活中出现了将公司独立人格制度绝对化而滥用公司人格损害债权人利益的情形，因此。In modern society,the system of corparation's independent entity still has the value of benefit and justice.The absoluteness of this system and the misuse of the independent entity by some shareholders infringed the interest of creditors,thus appropriate measures should be taken to remedy the defect.
