摘　　要：现代企业制度的建立，所有权与控制权分离，委托代理关系随之形成。在委托代理条件下，合理确定企业家的报酬具有重要的意义。在论述了确定企业家报酬应考虑的几个因素的基础上。With the establishment of modern enterprise system and the separation between proprietary rights and control rights, entrusted proxy has developed. On this condition, it is very important to decide a reasonable entrepreneurs' reward. This artical firstly discussed some factors that should be considered in the decision of entrepreneurs' reward. On the basis of this discussion, the artical made further discussion about the constitution of entrepreneurs' reward and the difficult points in decision of entrepreneurs' reward.
