摘　　要：该文从证券诉讼制度和证券责任制度的角度讨论独立董事制度的外部约束和制约条件,基本结论是,我国目前“对上市公司和相关责任人实行有限制裁”和“对普通投资者实行有限的法律保护”的证券诉讼制度和“重行政责任与刑事责任,轻民事责任”的证券责任制度,不利于完善上市公司治理机制,是独立董事制度的制约因素。必须在加大证券侵权民事赔偿责任的同时,区分内部人和外部人的责任大小,加强公司内部人的民事责任,“固化”外部人(包括独立董事)的法律责任,以期为推行独立董事制度营造一个良好的法律环境。As new-institutional economics points out, institutions are constrained by institutions in another area. This is also true for independent directors system, which is a component of the corporate governance institution. From the perspective of securities litigation system and securities liability system, this paper discusses the external and the internal constraints of implementing the independent directors system. It concludes that the constraining factors of the implementation of independent directors system are China's currently implementation of the securities litigation system which highlights the 'associated responsible individuals subject to limited sanctions' and 'limited legal protections to common investors', and the securities liability system which is 'emphasizing the administrative responsibility but putting less weight on civil liability'. Therefore, it is necessary to clarify the liabilities between the insiders and outsiders of the firm, to enhance the insider's civil liability, and to 'solidify' the outsider's (including independent directors) legal liabilities. All these will encompass a well-defined legal environment for implementing the independent directors system.
