论经营责任契约与“三层次两权分离”运行模式——深化企业改革的宏观思考

摘　　要：本文从深化企业改革的宏观角度首次提出了“经营责任契约与‘三层次两权分离’”的运行模式。所谓“经营责任契约”是指:国家依据于财产所有权,同企业达成以经营责任为内容、具有法律效力的契约,在契约中恰当地反映作为经济实体的国家与企业的利益要求以及彼此的责任,同时,借助于契约的法律制约性,约束双方履行契约的义务,进而保证各自经济权益的实现。而“三层次两权分离”是: (1)第一层次的两权分离是国家所有权与政权的分离;(2)第二层次的两权分离是所有权与经营权的分离;(3)第三层次的两权分离是企业内部的企业经营权与企业负责者经营活动权的分离。文中对“经营责任契约与‘三层次两权分离’”运行模式进行了深刻论证和系统论述,所及观点颇有新意。Recognizing the need for more deep-going reforms in China, the joint au-thors of the present article propose 'responsibility contract' and 'three-level sepa-ration' as new models for enterprise mangement. The former refers to a legally valid contract to be signed between the state and an individual enterprise on themanagerial responsibility, a contract which would reflect, in an appropriate way,the rights and responsibility of both parties as economic entities. Necessary mea-sures should be taken to ensure bilateral compliance with the contract so thattheir respective elaims could be satisfied. And by 'three level separation' thejoint authors point to:1.Separation of state-ownership from political power;2.Separation of ownership from manegerial power; and3.Separation of an enterprise's mangerial power from its leader's rights inhis own function. The joint authors give penetrating and systematic exposition of their propo-sals.
