关联企业从属公司少数股东与债权人保护

摘　　要：关 联企 业 ,在 西方 出现 的 顺序 概念 是 :控 股 公司 ;从 属 公司 ;公 司体 系 ;关 联公 司 ;关 联企 业 (康 采 恩)。 我 国台 湾 地区 称之为 :关 系企 业 ;亦称 :集 团企 业 或企 业 集团 。我 国 从涉 外税 法始 首 称“关联 企 业”。关联 企 业指 若 干法 律上 独立 的 企业 以 合同 或其他 方 式进 行的 资产 联 合,母公 司与 子 公司 进行 集 中管 理或 统 一领 导,目的 是形 成 规模 经 济、实现 技术 更新 、拓 展 市场 份额 。其间关 联 企业 对小 股东 和 债权 人 利益 侵犯 之 情形 时有 发 生,然 则国 内 之相 关法 律 规定 寥寥 ,为 防范 资 本风 险引 发 社会 风险 ,应 深入探 究 关联 企业 从属 公 司少 数 股东 与债 权 人保 护方 面 的立 法完 善 问题 。Associated (or affiliated) enterprises are the association (or affiliation) of the assets by some independent enterprises through the contract or other forms. In the associated enterprises both subcompany and mother company are under centralized management and unified leadership. But the phenomenon of infringement of minority shareholders and creditors by associated enterprises occurs sometimes. To prevent the capital risk and social risk, we should probe the problem concerning the improvement of legislation in protecting minority shareholders and creditors in the subsidiaries of associated enterprises.
