摘　　要：股权结构是公司治理结构的基础 ,变革股权结构的最终目的是为了更好的建立、健全公司的治理结构。从理论上分析公司股权结构的各种决定因素 ,结合业内优秀软件公司IPO之前股权结构设置的具体实践 ,最终说明什么样的股权结构最有利于发挥民营软件公司治理结构的作用。Ownership structure is the foundation of the corporate governance structure, and the final purpose of changing the ownership structure is for the better set-up or improving the corporate governance structure. On this basis, this paper has analyzed various decisive factors of the ownership structure theoretically. With the practice of some outstanding software companies before IPO, this paper finally proves what kinds of ownership structure is most favorable to the corporate governance of private software companies.
