海峡两岸商业秘密法律保护比较研究——兼论我国大陆与台湾商业秘密立法的国际化及其完善

摘　　要：　商业秘密法律保护既涉及商业秘密定义、内容、保护范围的准确界定,又涉及到对商业秘密权利归属的具体规定,还涉及侵犯商业秘密行为的确认和商业秘密民法保护手段的有效运用。就与之相关的立法而言,我国海峡两岸既有许多相似之处,也存有各种不同的规定,但总的来说,与世界上商业秘密立法比较完善的国家相比存有较大的差距,其因立法过粗而造成的不足显而易见。为适应商业秘密保护已被普遍关注的国际趋势,进而使我国海峡两岸更好地融入国际技术交流和发展的大潮,使两岸经济更好地与世界接轨,就我国海峡两岸商业秘密法律保护所涉上述问题的现状,必须加快完善海峡两岸商业秘密立法,增加商业秘密具体内容的规定、惩罚性赔偿的规定和对商业秘密潜在侵占救济的规定。The legal protection on trade secret concerns the precise definition of the content and protection scope of trade secret, the specified regulations on the ownership of trade secret, as well as the conformation of the acts of tort on trade secret and the effective application of civil protection measures on trade secret. Regarding the aforesaid issues, there are both similarities and differences in the legislation across Taiwan Strait. On the whole, there is a considerable gap between the legislations in the China's Mainland and Taiwan and those in the relatively advanced countries, which reflects in the obvious defects of the oversimplified legislations. In views of adapting to the trend that countries all over the world have paid close attention to the trade secret protection, integrating both sides across the Strait into the international technological exchange and development and keeping the economies across the Strait in line with the world economy, we must take the following issues into consideration: (1) expanding the particular contents of trade secret; (2)adding the regulations of punitive compensation; (3) and broadening the remedies of potential misappropriation of trade secret when discussing the current situation of the above-mentioned issues related to the trade secret protections across the Strait and speeding up the legislations on the trade secret protection across the Strait.
