摘　　要：在提出企业购并效益的定义基础上,通过对企业购并过程中的效用进行分析,刻画了购并活动的内在信息,建立了企业购并效益研究的模型,得出了企业购并效益的评价定理,并指出需要进一步研究的新问题.On the basis of defining corporate benefit for enterprises' mergers, the paper analyses the corporate avail of enterprises' mergers and portrays the intrinsic information, then establishes the researching model of enterprises' mergers. Finally ,we obtain the benefit evaluated theorem of enterprises' mergers, and point out the new problem that is needed for the farther research.
