基于EVA的外资并购绩效研究——福特并购江铃的案例分析

摘　　要：基于EVA评价方法 ,以福特并购江铃汽车为例 ,对外资并购的长期绩效进行了分析。结果表明 :外资并购使江铃汽车的EVA值逐年增加 ,业绩极大改善 ,在汽车行业上市公司中处于领先水平。从长期来看 ,这一并购案是成功的 ,江铃公司的治理结构得到优化 ,实现了外资并购的初衷。实证结果较好地支持了并购的协同效应动因理论。Foreign capital M&A has become a hot topic in China.Taking Jiangli n g motors corporation as an example, we adopt EVA as measure to study the perform ance of foreign capital M&A. The result shows that EVA has a tendency of going u p. The foreign capital M&A leads to performance improvement of Jiangling motors corporation in a long term. The motive theory of synergy effect can interpret t he act of the foreign capital M&A.
