摘　　要：风险投资的不确定性和信息不对称性,使得风险企业中的控制权配置成为影响企业成败的重要问题。介绍了风险企业控制权研究概况,引入控制权连续变量,导出了风险投资家与风险企业家最优控制权分配的均衡解,同时分析了影响风险企业中控制权配置的重要因素,对风险企业治理机制进行了有益的探讨。The uncertainty and information-asymmetry of venture investment make the allocation of control rights in venture enterprises vital, In this paper the researches on the allocation of control rights in venture enterprises are briefly introduced, and the continuous variables of the control rights are brought in to the thesis.Then the equilibrium solutions to optimal control rights allocation between the venture investors and venture entrepreneurs are deduced. At the same time, the affecting factors of allocation of control rights of venture enterprises are analyzed, and the governance mechanism of venture enterprises is discussed constructively.
