摘　　要：由于我国公司内部的监督体制未能有效发挥作用,对英美法系的独立董事制度进行考察与研究,意在对我国的监督体制进行批评的同时,探讨将独立董事制度本土化,以期完善我国的公司监督机制。Since the supervising systems in corporations have not taken effect, the author investigated and researched the independent director system in the UK and the USA. This paper probes into localizing the independent director system so as to perfect the supervising mechanism in corporations in China.
