摘　　要：环境保护与股东利益最大化是现代公司面临的两难选择。随着可持续发展战略的确立, 协调股东利益与环境公益的公司绿色社会责任理论应运而生。针对该项理论进行可行性分析之后, 提出实现公司绿色社会责任的制度安排。The environment protection and the pursuit of the legitimate rights of the shareholders are the dilemma of the company in the modern society.With the establishment of the sustainable development strategy, the theory of the green social responsibility of the company dealing with the problem emerges as the times require. After analyzing the feasibility of the theory, we choose the new system to realize the theory.
