略论我国《公司法》社会责任制度的完善

摘　　要：文章以理论界认为我国公司法没有建立公司社会责任制度为发端,认为我国公司法第14条第1 款实际上已经具备了公司社会责任的雏形。文章进一步认为,与发达市场经济国家相对完备的公司社会责任制度 相比,我国公司法第14条的规定显得十分单一和抽象,不利于公司承担必要的社会责任。因此,文章建议,公司 法应该在立法宗旨中明确规定公司的社会责任,并通过完善公司组织机构是权力和义务体系来确保公司社会责任 的承担。From the fact that theory circles think 'company law' of our country did not set up company social responsibility system, this paper think that the 14th item, 1st paragraph in 'company law' of our country has had the rudiment of company social responsibility, which appears single and abstract and makes company against assuming essential social responsibility. The author suggest that the 'company law' should definitely prescribe company's social responsibility in legislation tenet and make power and in cumbency system insure the assumption of company social responsibility through perfect company's organi-zational units.
