摘　　要：董事负有注意义务和忠实义务,如果董事没有履行义务,就要承担相应的责任。应该建立董事责任追究制度。董事的责任追究制度包括:刑事责任追究制度、民事责任追究制度和行政责任追究制度。我国董事责任追究制度需要完善。Directors owe fiduciary and care duties to the corporation. If directors do not carry out their duties, they should be responsible for their behavior. We should enforce the rules of investigating the director's responsibility. These rules consist in criminal investigation, civil disciplinary sanction and administrative penalty. The rules of investigating the director's responsibility in our country should be perfected.
