摘　　要：从国有企业监督的必要性和国有企业监督中现存的问题出发,构建出国有企业利益相关者的监督体系,突出国有股东外的国有企业职工群众、非国有股东、债权人以及利益相关企业等利益相关者的监督主体地位及其作用,以期更好地对国有企业经营者进行监督,有力地保障国有资本保值增值目标的实现。In this paper, based on the discussion about the necessity and limitation of the supervision of state-owned enterprises, the authors try to construct the stakeholder-supervising system of state-owned enterprises, emphasise the important status and function of employees, non-government shareholders, creditors and some correlative corporations, in order to supervise the SOE managers effectively and attain the goal of maintaining and increasing the values of the state-owned capital.
