摘　　要：独立董事制度的建立 ,对于改善目前上市公司“一股独大 ,一股独占”引起的侵犯中小股东利益的弊端有重大意义。但是由于我国引入独立董事制度的时间较短 ,各种配套制度和外部环境还不完善 ,这在一定程度上制约了独立董事作用的充分发挥。The establishment of the independent director system plays a major role in improving the situation of minor shareholders of listed company whose benefits been sized unfairly by the major shareholders due to their dominance in listed company . But because the time that our country introduces the independent director's system is relatively short, various kinds of complete network systems and external environment condition are also not perfect, the ones that have restricted independent director's function are given full play to to a certain extent. This text puts forward some perfection and improved measure on this.
