摘 要:近年来,随着商品经济的进一步的发展,企业商事活动的日益频繁,有一个“新”名词逐渐为许多企业所论及,那就是———商号。现阶段一方面越来越多的企业已将商号作为自身的一项重要无形资产来对待,而另一方面我国目前针对商号又没有统一的专门立法,实践中针对商号的一些具体规定又相对较为笼统、模糊,并且散见于各类法律法规之中且时有矛盾冲突。本文试从商号的法律性质分析着手,阐明商号作为知识产权的一种,其定义与性质不应简单等同于企业名称与商标。同时,针对目前商号存在的若干主要法律问题如商号的法律定义和定性的不明,直接关系到相关权利如何实现、行使和保护,给出自己的观点和建议。以及就商号权与商标权的法律冲突问题,进行分析,并就如何解决这一问题提出一些自己的看法。In recent years,with the further development of commodity economy,enterprise's business is gaining more and more frequency day by day,a 'new word' is touched upon by a lot of enterprises gradually,that is╞Trade name.On one hand,an increasing number of businesses have been regarding trade name as an important intangible assets at the current stage,on the other hand,our country lacks specialized laws concerning trade name and there are ambiguous practices regarding trade name in reality,which gives rise to conflicts and contradictions between and among related laws and regulations. This paper endeavors to analyze legal nature of trade name and concludes that trade name is one part of intellectual right,whose nature and definition are not in line with business names and trademarks.At the same time,perspectives and suggestions are also given based on ambiguities concerning legal definitions and nature of existing legal problems of trade name as well as realization,practice and protection of trade name.Viewpoints are outlined on legal conflicts of trade name rights and trade mark rights by analyzing these related issues.
