摘　　要：股份制改造是为了将国有商业银行办成真正的商业银行,它有利于商业银行的健康经营;有利于金融的稳定;有利于整个社会经济的协调发展。股份制改造在商业银行的发展中具有不可替代的作用,国有商业银行进行股份制改造势在必行。我们要认识并解决股份制改造中面临的问题,有步骤、有计划地进行改革。The aim of shareholding restructuring is to change commercial banks to real commercial banks. Shareholding restructuring is beneficial to healthy management of commercial banks, the financial stability and coordinate development of economics. Shareholding restructuring plays necessary roles in the development of commercial banks. It's time to undertake shareholding restructuring of state-owned commercial banks. So we must recognize the problems in shareholding restructuring step by step. 
