摘　　要：从表见代理制度的历史考察为切入点,检讨我国表见代理制度的价值取向。全面剖析了表见代理构成要件三种学说的优点及缺陷,提出了我国表见代理的构成要件。从四个方面来把握我国表见代理的构成要件:第一,行为人无代理权;第二,行为人有被授予代理的表象;第三,本人行为致授权表象;第四,相对人善意且无过失。以期构建适应我国社会主义市场经济的表见代理制度。<Abstrcat>The author of this article made a criticism of the value of the Scheinbare Voumatcht system and analized the advantages and disadvantages of the three theories about it from all parts,and put forward the forming important conditions of Scheinbare Voumatcht in our country.The author thought that we should grasp the forming important conditions of Scheinbare Vouamatcht from four sides,in order to form the Scheinbare Voumatcht system to be fit for our socialist market economy.
