摘　　要：类别股东表决制是保护中小股东利益的一项新制度,还有诸多不完善的地方。要加建立法,加强研究,明确类别股的界定、类别股东表决制的出席要件及表决要件、表决方式等,完善类别股东表决制,以便中小股东更有效地行使表决权。Classified shareholder voting system is a new way to protect the right and interest of minority shareholders, but there exists some deflects in the regulations on this system. Statutes should make a clear-cut definition of classes of share and prescribe a quorum requirement, the affirmative vote of a majority of that quorum is necessary at a class of shareholders’ meeting in order to make classified shareholder voting system more perfect. Thus minority shareholders can make a vote efficiently.
