摘　　要：创业资本研究提供了一个在极端条件下研究现代金融理论的情境,使得某些在其他情境中易于忽略的问题得以深入研究。合适的融资工具与合理的控制权安排能够在一定程度上消除企业家与创业资本家间的代理冲突和矛盾。Venture capital provides an extreme situation for modern finance theory research, and make some questions, which are often neglected, deeply deeply researched. Properly designed financing instrument and rational control right arrangement can partly eliminate the agent conflicts between the entrepreneur and the venture capitalist.
