摘　　要：我国公司设立登记制度存在若干不足,表现在公司登记审查制度、公示制度和设立登记自身的效力上。究其原因,主要是由我国长期的计划经济体制所造成的。在市场经济体制已经建立并全面发展之际,公司登记制度理应由原来的行政监管性转变到登记公示性。立法,行政部门也同时应当给予配合,减少行政权利对企业经营的干预。There are a certain number of deficiencies existing in incorporation registration system of China, representing inregistration examination system, registration information publication system and the effect of the registration itself. As a matter offact, these deficiencies are caused by long-term Plan Economic in China. So far, since the Market Economic has established and beendeveloping, it is the moment that the character of incorporation registration should change from administrative supervising toregistration information publication. Meanwhile, the legislative and administrative branch should make cooperation, reducing theinterference caused by administrative power.
