摘　　要：中国国有商业银行虽然经过了若干年的改革,但是仍然存在着资本金不足、不良资产率过高、效益低下等诸多问题,究其原因不完善的公司治理机制是最根本源头。从国有商业银行公司治理存在的问题入手,提出了一些改进的建议。Though Chinese state-owned commercial bank has passed the reform in several years, there still existing some problems： insufficient capital, too high non-performing assets rate and low efficiency. Imperfect administrative mechanism of the corporation is the basic source. This text st- arts with the problems existing in corporation administration of state-owned commercial bank, puts forward some improved suggestions.
