摘　　要：在加入WTO和国企资产重组的良好经济环境下,国内上市公司成为外资并购的热点,而上市公司的外资政策也倍受关注。最近我国出台了一系列的规范性法律文件,为外资并购上市公司提供了制度保障和操作规范,然而这些规范性法律文件还存在诸多问题值得探讨。With China ＇ s entering WTO and the rearrangement of the state-ownedenterprises, listed companyin China has become the interest of foreign multinational corporations, and the policy about it has become a hotspot. A lot of regulations have been promulgated which provide the foreign capital＇ s merging with systematic protection and operating rules. But there are stiu some questions should be probed into.
