论我国有限责任公司制度的重新定位——以中小企业为目标模式

摘　　要：我国现有的有限责任公司制度显现出诸多弊端,至少是违背了这一制度创立的初衷。通过分析检讨了现行《公司法》在有限公司部分定位失准的现状可以看到,应以中小企业为有限责任公司法的主要受众,并以此提升中小企业竞争力。The present limited- liability company system in China fetches out many abuses, when China has already joined in WTO and the legal system meets international world. It has at least breached its original intention. This text reviews the inaccurate location of the present limited-liability company system and puts forward that minor enterprise should be the beneficiary of the limited-liability company system,thereto exalt the minor enterprises＇ competitiveness.
