摘　　要：在现代公司中 ,由于公司所有权与经营权的分离 ,作为公司的实际拥有者———董事会 ,很容易产生董事权力滥用的现象。为此应完善公司立法 ,完善现代公司制度 ,为董事会和董事权力的行使确立程序性规则 ,为董事确立其行为标准和特定的义务 ,依法约束董事的行为 ,防止其权力滥用 ,以保护股东与公司的利益。In the modern company, because of the separation of ownership and management in the company, as the real owner of the company- the board of directors is very apt to produce the phenomenon of director＇s power abuse. The company should perfect legislation, set up the procedural rule for board of directors and exercise of director＇s power and establish its behavior standard and specific obligation for the director. Therefore abe director＇s kehavior should be retrained in order to prevent is his own power from useing.
