摘　　要：本文分析了我国风险投资业的基本特点,阐述了中国风险投资存在的主要问题,即投资主体问题、退出机制问题、人才问题、法制环境问题、项目源问题,并针对这些问题提出了一系列对策,同时就各项对策具体提出了一些可操作性的建议。The article analyzed primary characteristics of venture capital（VC） in China. Main problems of VC in china, such as the subject of investment, project resource, retreat mechanism, human capitals, legislations in Chinese VC market are set forth, at the same time put forward some exercisable advice.
