摘　　要：围绕软件企业R&D活动中“控制权与剩余索取权的优化配置”这一中心问题,探讨软件企业R&D治理问题产生的原因,从员工持股、员工培训、决策参与、技术等级晋升等四个角度展开对R&D治理的理论分析与实证研究.并提出软件企业R&D治理结构与机制有待于进一步深入研究的问题.Firstly,from the view of management,it explores the reasons of R＆D management based on the central problem of control rights and residual claim rights in R＆D activities of software enterprises. And then, makes a theoretical analysis and empirical research on R＆D management from the angles of shares allocated to R＆D workers, technical training for R＆D workers, decision-participation and technique-rank systems. Finally, it refers to some questions on the R＆D management structure and mechanisms that should be researched further.
