摘　　要：通过对农地制度与工业化、城市化关系的考察，结合现实的中国工业化、城市化进程与农村土地产权制度的矛盾及利益交叉契合点的实证分析，在新兴古典经济学的框架内给出了解决其内在矛盾冲突的途径，提出了以完善承包制、建立流转市场为路径依赖，以实现城乡二元土地产权结构和城乡二元土地产权市场对接为目标的农村土地产权制度创新的政策建议。Through inspecting the relationships between land tenure system and industrialization, urbanization, in the light of the positive analyses of the conflicts and interest overlapping parts between the rural land system and China＇s industrialization and urbanization process, under neoclassical economics frameworks, it＇s advanced the ways which can settle their inner conflicts and put forward creative proposals through reliable path from perfection of land contract system and establishment of the moving market, to realize the connection of urban-rural dualistic land tenure structure and land tenure market aiming to establish a creative rural land tenure system.
