摘　　要：QFII制度是新兴资本市场实现对外开放的一种过渡性制度安排。在我国已经进入实质性运作阶段。推行QFII制度,会产生证券市场风险加剧汇率波动及市场监督难度负面影响,但对我国吸引外资入境、改善市场参与者结构、转变投资理念与投资策略、促进上市公司完善治理结构、推动金融产品创新、促进市场监管水平提高等都具有积极作用。QFⅡ system is a kind of transition institution used for opening up new capital market.How it has been brought into implementation full QFⅡ system may bring about more risks at security market,interest rate fluctuation ineffective market supervision.However,it also has many advantages in attracting,forcign investment,optimizing the composition of muket participants,changing the investment comception and strategy,perfecting the corporate govemance structure of the listed companies,creating new financial tools and improving govemmental control level.
