摘　　要：风险投资不同利益主体之间会形成双重委托代理关系,并因此会产生相应的委托代理风险。风险投资的高效运作,必须有效解决这种委托代理风险。本文结合风险投资的特点,探讨了如何在两个层次的委托代理关系中设计有效的治理机制来提高风险投资效率。In venture capital investing, there exists two principal- agent relations and then corresponding princial- agent risk id generated. Combined the characterisk of venture capitl, the paper discussed how to improve investmnet efficiecny through designing valid mechanism of governace in two princal- agent relations.
