摘　　要：我国中小企业公司治理的缺陷已严重制约了中小企业的成长。构建与我国中小企业发展实际相吻合的法制环境、市场环境、融资环境、企业组织环境等宏观环境,是改善中小企业公司治理的必由之路。Leas of corporate governance has seriously limited the growth of Chinese small and medium enterprises （SMEs）. The improvement of corporate governance of SMEs depends on the improvement of the external environments including the environments of legal institution, market of property right, financing and corporate organization.
