摘　　要：商事登记制度是商法的重要组成部分,研究商事登记的价值对优化商事登记立法具有重要意义。效率和安全是商事登记的两大价值,效率应服务于安全。通过分析我国现行商事登记法律制度中有违效率价值的问题,就完善我国商事登记法律制度,实现效率与价值最佳均衡提出几点立法建议。The resignation system of commercial affairs is an important component of the commercial law, and value of registering in commercial affairs is significant to optimize the resignation system of commercial affairs. Efficiency and security are two major values of resignation in commercial affairs, and efficiency should serve the security. I＇ 11 propose some legislative suggestions to perfect the resignation system of commercial affairs and realize the equilibrium of the efficiency and security through analysing the questions of disobeying efficiency in the current regulations of our country.
