摘　　要：从2001年起,日本对其商法典中的公司中有关董事、监事权利和义务的规定进行了修改。其中从对于监事职能的强化方面,可以看出日本公司治理机制构造的未来前景。特别是对美国式制度引进以及该制度与日本固有公司治理机制整合的介绍,对于中国公司法律制度的完善具有很大的借鉴作用。Since 2001, Japan has revised the postulations regarding obligations and fights for directors and auditors in the commercial law code. From the revision regarding the functions of auditors, we can foresee the future corporation governance of Japan. Especially, the introduction and integration of the Americanized governance style with Japan＇ s governance can give some insights of perfecting the governance institution of China.
