摘　　要：经济转轨过程中县域民营企业集群的形成源于制度变迁(民营化及政府职能的转变)和企业家群体的形成(基于社会资本的企业家效应)。在制度分析的框架下,从智力外溢和企业家效应两个层面对民营企业集群的形成机制进行探讨。In the process of economic transition, private enterprise cluster in county regions results from institutional innovation（privatization of SOE and change of gevemment＇ s function）and formation of entrepreneurs group（the effect of entrepreneurs based on social capital）. Based on the institutional approach, the formation mechanism of private enterprise duster is discussed form two aspects including brains spilling over and the effect of entrepreneurs.
