摘　　要：跨国公司生产守则是经济全球化的产物,其核心是约束跨国公司的生产经营行为,从而承担社会责任。基于跨国公司生产经营活动的特点,其所倡导的生产守则必然会与东道国国内法发生联系。同时,生产守则虽然是跨国公司自行制定的规则,国际社会已经开始关注这种规则的法律效力。国际社会通过国际公约的形式制定统一的生产守则已经成为趋势。Code of conduct for multi-national corporation is the developed result of the globalization of economy. Its kennel is to restrain the business of multi-national corporation and take the social responsibility. Based on the character of the business of multi-national corporation, code of conduct sponsored by them must take some relation with the domestic law of the host countries. In the meantime, although code of conduct is drafted by multi-national corporation, its legal effect was concerned by international society, and it is a trend to draft the united code of conduct by international society.
