摘 要:商业特许经营作为通过出售特许权来发展经营业务的一种连锁经营方式,在给流通领域带来革命性变化的同时,也引发了一些法律问题。为促进特许经营业的健康发展,我国应制订专门的经济法规对特许经营的立法价值取向、特许人与被特许人的主体资格要求、特许经营中的风险和责任承担方式诸方面作出规定。文章从经济法视角对特许经营行为的法律属性、市场准入、信息披露、合同规制、对外责任分担等方面作了考察和分析,以释明经济法律在对特许经营行为进行制度构建时之规制重点。Franchising is a kind of chain business developing business by selling the franchise right. While bringing about revolutionary changes in circulation, it also has caused some legal issues. In order to develop the new business mode of franchise soundly, it is necessary and pressing for China to establish special economic laws or regulations to regulate the business mode of franchise in the following fields: the orientation of legislative value, the qualification of franchiser and franchisee, commercial risks in franchising and obligations undertaking concerning this. An exploration will be made into the following aspects from the perspective of economic law: the legal character of franchise, the market admittance, the information disclosure, the franchise contract management and responsibility sharing, to clarify the key points, which should be emphasized when the government makes special franchise laws or regulations to institutionally regulate the business mode of franchise.
