摘　　要：目前建立有效的公司治理结构已成为公司的核心。日本的董事会结构、互相持股制度对我国的公司治理模式有很大的借鉴作用。本文即从狭义和广义两个层面分析公司治理结构,同时又克服日本在制度上的缺陷,以建立适合我国国情的公司治理结构。It is important to found effective company govern pattern now. Japanese directorate structure and corporation holding system have made an important role in our company govern .This passage analyzes the company govern structure by narrow sense and broad sense .and we can overcome the system ＇ s shortcomings in Japan and found our company govern pattern.
