摘　　要：公司法人人格否认原则是公司法人制度的补充,这一原则旨在保护公司债权人的利益和禁止股东利用法人人格逃避法律责任。适用法人人格否认原则必须符合特定的条件:公司法人人格在形式上合法存在,出资人或股东滥用公司法人人格严重损害债权人的利益或逃避法律责任,出资人或股东实际在造成损害的范围内承担责任。应当严格掌握法人人格否认的适用条件,依照正当程序确定股东对公司的连带责任,防止滥用法人人格否认,违反公司法的基本原则。The principle of corporation legal person＇ s denial of personality is a complement about the system of corporation legal person. This principle aims at protecting the interests of corporation creditors and prohibiting stockholders from employing the personality of legal person to escape legal liability. The thesis puts forward the idea that we apply to the principle of legal person＇s denial of personality under the following specific prerequisites. First, the personality of corporation legal person exists lawfully in form; second, capital investors or stockholders abuse the personality of corporation legal person to heavily damage the interests of creditors or escape their legal liability; third, capital investors or stockholders actually undertake the responsibility within the range of damage. Therefore, we should learn application prerequisites of legal person＇s denial of personality carefully, act on proper procedure to determine stockholders＇ joint responsibility for corporation and prevent from abusing legal person＇ s denial of personality to violate the basic principle of corporation law.
