摘　　要：石油公司从事跨国石油勘探开发活动,必然受到国际石油合同的影响和制约。国际石油合同包括租让制合同、产品分成合同、风险服务合同、回购合同、联合经营和国家石油公司私有化6类。石油合同风险分为地质风险、技术风险、财务风险、商业风险和政治风险5种类型。通过全面分析国际石油合同及其风险的类型和特点,认为在油气勘探开发项目的不同阶段风险管理的重点不同,石油公司必须建立科学的投资决策程序,采取定量与定性相结合的风险分析和投资决策方法,合理利用资源国财税制度等措施规避和降低风险,对中国的石油公司从事跨国石油勘探开发具有重要意义。Petroleum companies are inevitably influenced and restricted by international petroleum contracts for being engaged in transnational petroleum exploration and development. International petroleum contracts include six types of the concession contract, the production sharing contract, the risk service contract, the buyback contract, the joint venture and the national petroleum company privatization. Petroleum contract risk can be divided into geological risk, technical risk, financial risk, commercial risk and political risk. Through comprehensive analysis of international petroleum contracts and the type and characteristics of their risks,it is concluded that risk management emphases are different at different stages of the petroleum exploration and development projects. The petroleum companies must establish scientific investment decision - making procedure, adopt the quantitative as well as qualitative risk analysis and investment decision - making methods, and reasonably make use of finance and taxation system of resource countries to elude and reduce risks. It is of vital significance for the petroleum companies of China which are engaged in the transnational petroleum exploration and development.
