摘 要:通过家庭承包取得的土地承包经营权转包后,原土地承包关系并不发生变化,接包方所取得的土地承包经营权仍然具有物权效力;土地承包经营权的出租,则是一种典型的要式合同关系,具有更明显的债权性质;土地承包经营权的互换在法律关系上当无疑义,但将主体仅限于同一集体经济组织内部则无必要;土地承包经营权的转让实则为土地使用权的有偿转让,从法理上或实务上都不宜强调须经发包方的同意;土地承包经营权的入股则是完善我国土地承包经营权流转制度的创新,应在制度上不断完善。After subcontracting the right of contracting and managing farmland, the juristic relation of contracting farmland between the two parties is never changed, and the right still is a real right. As to the renting of the right of contracting and managing farmland, the juristic relation is a classical contract relationship that the form is obligatory, and is the one of creditor' s right. The juristic relation of exchanging the right of contracting and managing farmland should reach consensus in theory, but confining the juristic body into the collective economic organization is nonsense. The transferring of right of contracting and managing farmland is, in fact, the one with cost, and the agreement of the party who owned first the right of using land should not be emphasized, no matter in legal theory or in practice. Owning the membership of the collective economic organization by subcontracting the right of contracting and managing farmland is a innovation for improving the legal institution of the transferring of the right of contracting and managing, as a result, it should be improved.
