摘 要:中小公司法律文化是公司职工在长期生产经营实践中所形成的关于法的价值观和行为准则。我国许多中小公司,法律文化建设相当薄弱,中小公司法律文化具有导向功能、规范功能、激励功能、凝聚功能、调适功能和幅射功能。中小公司法律文化模式,是中小公司内在的公司法律精神、价值取向、以及伦理规范等构成的相对稳定的行为方式。适应中小公司有效治理的要求,公司法律文化的构建,可以划分为精神层、制度层和物质层。中小公司有效治理的法律文化模式构建应从以下方面把握:提炼法治精神;实施名牌战略;确保经营行为符合股东和利益相关者的利益;以人为本;增强管理的非权力影响。The legal culture of minor and middle corprations is the value concept and code of conduct that has been formed in the course of long production and management experience . The legal culture is very poor in many minor and middle corporations in China , the legal culture in minor and middle corprations has leading function , standard function , encouraging function , gathering function , adjusting function and radiation function. The model of legal culture in minor and middle corprations is the ways of conduct made up of legal spirit , value guide and moral principles of them . In order to meet the neeeds of effective management , the form of legal culture in minor and middle corprations can be divided into spirit level , system level and material level. The effective management of legal culture in minor and middle corporations can be explained by extraing legal spirit , practising stratage of famous brand , so that management conduct can protect the shareholders' equity , can adhere to mankind standard and can enhance the non-right influence .
