我国民营高科技企业治理结构存在的法律问题及完善对策

摘　　要：“以人为本”的民营高科技企业与“以资为本”的传统企业的治理结构存在着很大的差别,而我国现行法律制度严重滞后。表现在合伙企业法对合伙类型规定过于单一,公司法对公司设立的条件过于严格,相关金融法律制度对融资的许多障碍设置,这些都严重影响了企业的发展和壮大,应修改合伙企业法,允许高科技企业选择有限合伙形式;修改公司法,降低公司的准入门槛;建立外部人治理结构,允许商业银行等大的风险投资机构成为公司股东,直接监督和参与企业的经营决策。Nongovernmental high-tech enterprises focus more on humans,while traditional enterprises focus more on capital.Therefore,the administration orders of them shall be of great differences.However,the current legal system of nongovernmental high-tech enterprises in our country is quite lag：in the Law of Partnership Enterprises,the definition of Partnership Enterprises is too limited;in the Company Law,the establishment conditions of company are too strict;in relevant financial In order to promote the development and enlargement legal rules ,the requirements of financing are too high. of nongovernmental high-tech enterprises,the following reforms shall be made：to amend the Law of Pm-tnership Enterprises by .allowing the enterprises to choose the type of partnership;to amend the Company Law by lowering the establishment conditions of company;to establish the ＂Outer Management Order＇by making those investment organizations such as commercial banks be entitled to be the shareholders who can supervise and make decisions on the management of company directly.
