摘　　要：我国的中小企业具有很大的海外投资潜力,但我国中小企业海外投资的现状并不乐观,原因主要在于法律障碍重重。本文分析了我国中小企业海外投资立法层次、投资主体、企业形式、审批制度、资金融通以及相关的法律规定方面存在的法律障碍,并提出了相应的完善措施。The small and medium - sized enterprises of our country have very large overseas investment potentiality, but the current situation of overseas investment of small and medium - sized enterprises of our country is not optimistic, the reason mainly lies in the legal obstacle is very heavy. Legislative level of overseas investment of small and medium - sized enterprises of our country of the analysis of this text, investment subject, enterprise＇s form, examination and approval system, fund circulate and the legal obstacle that relevant legal regulations exist, have put forward the corresponding completion measure.
