摘　　要：完整的国家助学贷款市场应当是由一级市场和二级市场组成的一个有序开放的市场体系:一级市场是形成国家助学贷款借贷关系的市场,二级市场是国家助学贷款债权转让的市场。我国目前有必要进行国家助学贷款二级市场开发,而且开发的条件基本具备,还有多种运作方式可供选择。但在进行国家助学贷款二级市场开发中,需要建立良好的保障制度。A complete GSSL （Government-Subsidized Student＇s Loan） market should be an orderly and open market system, which consists of the primary market and secondary market. The primary market is the one that promotes GSSL to create a borrow-or-lend relationship, while the secondary market is the one that promotes GSSL creditors＂ right transformation. In this article, the author considers that it is not only necessary to develop the secondary market of GSSL and necessary conditions have been provided, and there are many manners of running for us to choose in China today. Sure enough, good security system should be built if the development of secondary market of GSSL is going to be carried out in our country.
