摘　　要：在分析契约型基金制度性缺陷的基础上,本文揭示了公司型基金的制度比较优势,认为完善基金治理结构是中国证券投资基金业进一步发展的根本问题,公司型基金则是其有效的制度解,进而提出了中国公司型基金发展的政策建议。Based on the analysis of institutional defect of contract fund, this paper reveals the comparative institutional advantage of corporate fund. As the result of this research, to improve governance structure is the fundamental problem of the development of securities investment funds in China, and corporate fund is its effective institutional answer. This paper gives some suggestion on how to develop corporate fund in China.
